​Great opportunity for a Corporate Counsel within the M&A space for a leading Utilities firm. As a Corporate Counsel, you’ll play an important part in helping achieve several of the Group’s strategic priorities, including:

• Supporting the Group to maximise growth opportunities afforded by the Energy Transition and Net Zero, including low carbon energy solutions for homes and businesses; and Delivering the Group’s strategic objectives with respect to joint venture and equity investments

Supported by the Associate General Counsel - Corporate & M&A, you will primarily provide the following legal services:

• Provision of legal support to Group level corporate transactions and corporate finance transactions, including: M&A, equity investments and the creation and management of joint ventures; and

• Providing direct corporate legal assistance to the business and a number of the Group’s functional teams,

The Role:

• Provide legal and transaction assistance to Group M&A and business unit teams, including pre- and post- transaction work for acquisitions, disposals, joint ventures and minority investments

• Draft, review and negotiate documentation including share purchase agreements, asset purchase agreements, joint venture and shareholder agreements

• Provide corporate legal assistance to the Treasury, Finance and Pensions teams, including advising on collateral, debt finance and debt capital markets matters, with assistance from external counsel

• Advise on group structuring, reorganizations and intercompany transactions

• Provide ongoing corporate legal assistance and advice to shareholder teams managing major Centrica joint ventures

• Instruct and manage external counsel and other advisers when required on a project-by-project basis

• Engage and work closely with other teams within Legal as necessary in order to ensure delivery of seamless and coordinated Legal M&A advice (e.g. Competition, Employment and IP teams)

• Work closely with and mentor the Corporate legal trainee

The Person:

• Law Degree or Graduate Diploma in Law as well as a Legal Practice Course

• Demonstrable post-qualified experience as a Corporate/M&A or Projects/Infrastructure associate and/or in an in-house role

• Thorough knowledge of corporate law and M&A market practice

• Experience in the energy and infrastructure sector would be an advantage

• Knowledge/experience of UK Listing and market abuse regimes

• Knowledge of debt finance, debt capital markets and/or pensions is an advantage but not essential

• Ability to assess and advise on legal risk, taking into account commercial viewpoints

• Proven transaction management skills
