Our client is a well know and fast growing retail business who are going through a period of significant and exciting change.

They are looking for an ambitious Assistant Company Secretary to join its governance team in the North West, supporting the secretarial team and providing a full governance and secretarial service. The opportunity would suit an experience and qualified (or part qualified) Assistant CoSec with FCA regulatory experience

Reporting to the Head of Legal & Deputy Co-Sec, you will handle a broad range of matters:

• Ensuring the Group is complaint with the provisions of the Companies Act, including maintenance of statutory records and filings.

• Provide support to the Groups committees and boards by developing annual meeting calendar, preparing agendas, distributing packs, attending meetings, taking minutes and actions, providing advice and guidance on governance best practice

• Reviewing and approving papers for Board and Executive committee.

• Responsibility for managing and updating of Management Responsibility Matrix

• Participating in projects that will improve governance standards across the group and being the voice of Governance in appropriate forums.

• Assisting with the yearend accounts process.

• Keeping abreast of changes that may impact the business and providing commercial focussed updates.

• Supporting development of team members and providing training to internal stakeholders. Working with external advisers as required.

• Support the Head of Legal & Deputy CoSec, and General Counsel (Company Secretary) in their roles.

Who they we looking for?

• Qualified or part qualified (ICSA) Company Secretary

• Experience dealing with a range of Governance issues.

• A focus on FCA regulated activity would be a significant advantage

• You will demonstrate a keen interest in financial services

• Can communicate effectively at all levels of the business and have good people management skills

• Be able to demonstrate commercial acumen.

• Be able to work in a fast-paced environment

Salary range is broad and will be dependent on experience. The role will benefit from a hybrid working pattern involving an equal mix of home and office based working. Head office is based is Lancashire
